Overview

This Website is owned and operated by Rank & Trade. By using it, You agree to be bound by its Terms and Conditions and all applicable laws and regulations. You also agree that You are responsible for compliance with any applicable local laws. If You do not agree with any of these terms and Conditions, You may not access or use this site and should leave immediately.

We use ‘We’, ‘Us’ and ‘Our’ to refer to Rank & Trade Pty Ltd. We use ‘You’ or ‘Your’ to refer to visitors, users, clients and customers.

Copyright

The Website in its entirety is subject to copyright protection and owned by or licensed to Rank & Trade.

Quotations and Pricing

Quotations are valid for as long as indicated on the documentation or, in the absence of such period being stipulated, for seven calendar days.

Quotations are subject to the availability of products and/or services and any increases in price or costs, which may occur before or after the order, are accepted by the Client.

Quotations are also subject to stock availability at the time of order confirmation whether by way of paying the deposit or by purchase order.

Rank & Trade reserves the right to adjust final prices according to fluctuations in current exchange and/or other rates.

Orders

Orders are to be placed in writing and will only be regarded as accepted upon written confirmation from Rank & Trade. Payment alone does not establish acceptance of orders.

Orders will be executed:

(a) Once the client has paid the deposit.
(b) Rank & Trade has approved the order in writing.
(c) It has been confirmed that the materials are available.

Right of Refusal

Rank & Trade has the right to refuse any order and to edit and/or omit artwork and/or text, or to contact You for alternative artwork and/or text, if We deem any artwork and/or text offensive, unacceptable and/or detrimental to Our reputation or the reputation of Our business partners.

Samples

Clients are advised to request a sample as it is Their sole responsibility to determine and ensure the products ordered are correct and suitable for their intended purposes. Rank & Trade will not be liable, in any manner of form, for incorrect product selection by the Client.

Samples need to be paid in full before sample collection may occur or delivery is arranged. If the Client proceeds to place an order after purchasing a sample, they will be refunded if the samples are returned, granted they are in their original condition.

Deposit and Payment

When ordering and purchasing goods from Rank & Trade, You are strictly subject to the following Standard Terms and Conditions of Sale which commence to apply upon confirmation of an order and endure until full payment has been made.

• A 50% or 75% deposit and/or an official order number is required to confirm acceptance of a quotation.
• Final payment for goods is due on whichever date was agreed upon, whether it be before, on or after the delivery or collection date.
• Payments shall be made free of deduction, set-off, bank charges and commissions and shall not be withheld for any reason whatsoever.
• Any variations in final pricing (due to foreign exchange rates, transport and/or insurance fees, taxes and/or other rates and fees) will be for the account of and be borne by the Client, with notice.
• Interest charges will be added to overdue invoices at the rate of 5% per month.

At this stage, Our Website does not facilitate online payments and as a result does not store any card information. Cash and EFT payments are accepted and additional payment options are being considered.

Internet transfers may take a few days to clear. Once the transfer has been cleared, we will ship the goods.

Rank & Trade cannot be held responsible for missed deadlines due to non- or late payments.

Product Designs

Product designs illustrating appearance will be sent for approval electronically. Approval is required within seven days. Further services will only commence once the designs have been approved electronically and signed off.

Requested design changes may affect delivery date. Rank & Trade will not be liable or responsible for delivery delays caused by design changes.

Changes requested after design approval and/or after manufacturing has commenced will result in additional costs for the Client’s account.

Rank & Trade will not be responsible for text (grammar, punctuation, spelling, etc.) or visual (item or image colour, location, size, etc.) errors and/or any damages suffered by the Client as a result of the erroneous design/order being created as accepted and approved by the Client.

Due to variations in computer monitor colouring and different materials used, the Client acknowledges that layouts sent in colour via email are a mere indication of what the product will look like. Printing colours will be matched as close as possible to colours/swatches supplied.

Cancellations

Clients will be subject to fees for cancellations and/or may not receive a refund at all. This decision will be based on how much time and effort have been spent on the artwork and manufacturing process to date.

Rank & Trade may cancel orders in any case of fortuitous events or any other circumstances whatsoever beyond Our control.

Collection and Delivery

Delivery date can be confirmed once final artwork has been approved and deposit funds have cleared in Rank & Trade’s bank account. Delivery fee will be based on the size, weight and the final destination of the package. Total fees are final upon acceptance of order.

It is the Client’s responsibility to be available for accepting delivery. The delivery address needs to be easily accessible for the carrier. Drop off shall be at the front entrance of the provided address, unless otherwise agreed.

If goods have to be redelivered for whatever reason, the Client will be invoiced for any additional delivery costs. Late collections may incur storage fees for the Client’s account.

Any form of delivery note or waybill signed by the Client, a representative of the Client or a third party involved in product transport/delivery shall be conclusive proof that delivery was made to the Client.

Import duties and/or taxes may apply for deliveries beyond South Africa’s borders which will be the responsibility of the Client.

Rank & Trade accepts no responsibility whatsoever for any loss or damages caused by late delivery or non-delivery and the Client indemnifies Rank & Trade accordingly. Orders which are not collected or undeliverable for thirty calendar days will be destroyed or used as samples.

Rank & Trade will not be held liable for any losses, breakages or missing stock that occur during transit. If required, freight insurance must be arranged with Rank & Trade and will be for the client’s account.

Copyright

It is Your responsibility to provide Us with the correct details and to only use Your own information or information You are allowed to use. Reproducing unlicensed trademarks or logos onto products manufactured by Rank & Trade is illegal.

It is also Your responsibility to ensure all artwork, images and text supplied to Us do not infringe upon any South African or International copyright laws and that You accept sole liability for the reproduction of any unlicensed copyright material.

Liability and Ownership Of Goods

Until we have received payment in full, goods remain the property of Rank & Trade. Upon delivery of goods in part or full, risk passes to the purchaser immediately.

Replacements / Repairs

Inspection of goods upon delivery (to verify quantity, quality and condition, etc.) is the responsibility of the recipient/purchaser when signing for the goods.

If there are any alleged defects or other issues, it is the responsibility of the recipient/purchaser to inform Rank & Trade and provide evidence within forty-eight (48) hours. Failing to do so will result in the acceptance that goods were delivered in perfect condition and therefore the recipient/purchaser may not return the goods in part or full to Rank & Trade and may not request a refund or reduction in price.

Should defective goods be returned properly and timely, it is up to Rank & Trade to decide whether to replace or repair such goods. It is the Client’s responsibility to ensure that goods are returned to a designated collection point in its original packaging, regardless of the reason for the returns. Expenses of returns arranged by Rank & Trade will be paid for by the Client.

Updates to Our Terms & Conditions

We may modify parts of or the entire Terms & Conditions periodically. Any changes are effective immediately. Accordingly, it is the User’s responsibility to review the Terms & Conditions from time to time. Use of the Website after modifications will be considered notice of the User’s acceptance to abide and be bound by these updated Terms and Conditions.

General Conditions

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Rank & Trade shall not be liable for any defect in any of the goods, whether patent or latent, nor shall We be liable for any loss or damage to the purchaser or any third party arising from any defect in the goods or any part thereof. The Client also hereby indemnifies Rank & Trade and holds it harmless against any claims so arising.

The Client will be liable for any fees incurred by Rank & Trade if legal proceedings are required for whatever reason.
